Terms of Service

These Terms govern your use of the SkuVitals app ("the App") provided by Grenz ("we", "us"). By installing, accessing, or using the App you agree to these Terms; if you do not agree, do not install or use the App.

1. The service

SkuVitals analyses your Shopify catalog and inventory to report on inventory health, dead stock, slow movers, and catalog-data quality, and to perform merchant-initiated actions such as bulk tagging and exports. Features and limits depend on your subscription plan.

2. Accounts and eligibility

You must have an active Shopify store and authority to install apps on it. You are responsible for activity that occurs through your store's use of the App.

3. Billing

Subscriptions are billed through Shopify's Billing API and are subject to Shopify's terms. Plan prices, trials, and limits are shown in the App before you subscribe. You may cancel at any time by uninstalling the App or changing your plan in your Shopify admin. Billing, proration, and any refunds are handled by Shopify under its billing terms; we do not separately refund fees already charged except where required by law. Upgrades take effect immediately, and downgrades or cancellations take effect at the end of the current billing period, after which the corresponding features and limits change.

4. Acceptable use

Your use of the App is subject to our Acceptable Use Policy(/legal/acceptable-use).

5. Data

Our handling of data is described in our Privacy Policy(/legal/privacy-policy) and Data Retention Policy(/legal/data-retention).

6. Intellectual property

We retain all rights in the App. You retain all rights in your store data. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the App for your own Shopify store for the duration of your subscription. You may not copy, modify, distribute, sell, sublicense, or reverse engineer the App except to the extent this restriction is prohibited by law.

7. Disclaimers

The App provides analytical estimates (for example, dead-stock and slow-mover classifications) to assist your decisions; you are responsible for the actions you take based on them. To the fullest extent permitted by law, the App is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory — including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the App will be uninterrupted or error-free, or that its analytical outputs are accurate or complete.

8. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of (or inability to use) the App, even if advised of the possibility. Our total aggregate liability arising out of or relating to the App or these Terms will not exceed the amount you paid us for the App in the twelve (12) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

9. Termination

You may stop using the App at any time by uninstalling it from your Shopify admin. We may suspend or terminate access for breach of these Terms. Data handling after termination is described in our Data Retention Policy(/legal/data-retention).

10. Changes and governing law

We may update these Terms; continued use after an update constitutes acceptance. These Terms are governed by the laws of Rajasthan, India, without regard to its conflict-of-laws rules. Before starting any formal proceeding, you agree to first contact us and attempt to resolve the dispute informally in good faith. Any dispute that cannot be resolved this way will be subject to the exclusive jurisdiction of the courts located in Rajasthan, India, and you consent to their jurisdiction and venue.
